By accessing or using the Website and related communication channels (including WhatsApp, email, and phone) (together, the “Service”), you agree to these Terms of Use (“Terms”). If you do not agree, do not use the Service.
1) Definitions
- “Distress Deal” means a property opportunity where the seller’s urgency (deadline, liquidity needs, obligations, etc.) may result in pricing below typical market levels.
- “Content” means all text, images, unit/project details, indicative prices, availability statements, and other materials shown on the Website or shared via our channels.
- “Request” means any inquiry you submit via forms, WhatsApp, phone, email, or other communication channels through the Service.
- “Third Parties” means sellers, buyers, developers, licensed brokers/agents, lawyers, banks, valuation providers, and other service providers.
2) What the Service Is (and Is Not)
2.1 What it is
distressuae.com is a portal that helps users discover and request access to distress real estate opportunities in the UAE and may facilitate introductions and communications with relevant Third Parties.
2.2 What it is not
The Service is not:
- a public marketplace or guaranteed inventory listing portal,
- a guarantee of availability, discount level, price, ROI, or closing timeline,
- legal, investment, tax, accounting, or financial advice.
Any decision to engage in a transaction is entirely yours.
3) Eligibility
You must be 18+ and have legal capacity to use the Service.
4) How the Service Works
4.1 Buyer Requests
You may submit criteria (e.g., budget, areas, unit type, timeline, payment readiness). We may respond with curated options, availability checks, or introductions.
4.2 Seller Requests
You may submit details of a property you want to sell urgently. We may request additional information to evaluate the case and connect you with potential counterparties or relevant partners.
4.3 Communication consent
By submitting a Request, you consent to be contacted via the details you provide (including WhatsApp/phone/email) to respond to your Request and coordinate next steps.
5) Scarcity, Availability & “Verification”
5.1 Scarcity is normal
Distress opportunities can be rare and can disappear quickly.
5.2 Content is informational
All Content is provided for informational purposes only and does not constitute a binding offer. Availability, pricing, and terms may change without notice.
5.3 Verification is not a guarantee
If we refer to opportunities as “verified” or “distress-qualified,” this reflects internal screening signals. It does not guarantee accuracy, availability, profitability, or closing outcome. You must conduct independent checks.
6) No Agency Relationship / No Fiduciary Duty
Unless explicitly agreed in writing under a separate contract:
- we do not act as your agent, broker, fiduciary, or representative,
- we do not negotiate on your behalf,
- we do not guarantee that any transaction will occur.
Transactions (if any) occur between you and relevant Third Parties.
7) Your Due Diligence Obligations
You are responsible for verifying all essential details before proceeding, including (as applicable):
- ownership and registration/title status,
- service charges, fees, and liabilities,
- developer/project approvals and documentation,
- payment plans and handover timelines,
- mortgage/encumbrance status,
- NOC requirements and transfer procedures,
- any restrictions or special conditions.
We recommend obtaining professional advice in the UAE (legal, valuation, mortgage) before committing.
8) “Fast Close” and Timeline Statements
Any statement about “fast close,” “same-day,” or “24 hours” describes possible scenarios when conditions align (documents ready, realistic pricing, counterparty readiness, bank/authority workflows). It is not a promise.
9) Third Parties & Advertising Compliance
9.1 Third Party responsibility
We are not responsible for Third Party conduct, statements, pricing, availability, or performance, nor for any agreements you enter into with Third Parties.
9.2 Advertising permits / approvals
Real estate advertising in the UAE (and in Dubai, specifically) may require permits/approvals and/or specific disclosures depending on the format and channel. Where required, the authorized advertiser is responsible for compliance.
10) User Conduct & Prohibited Uses
You agree not to:
- scrape, copy, harvest, or republish Content using automation/bots,
- bypass security or attempt unauthorized access,
- upload or transmit unlawful, misleading, defamatory, or harmful material,
- impersonate others or misrepresent ownership/authority,
- disrupt the Website (including DDoS, malware, exploitation attempts).
We may restrict or terminate access if misuse, fraud, or legal risk is suspected.
11) Intellectual Property
All rights in the Website and Content (branding, design, structure, text, images, databases) are owned by or licensed to the Company and protected by applicable laws. No rights are granted except as explicitly stated.

14) Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- indirect, incidental, consequential, special, or punitive damages,
- lost profits/revenue/opportunity, loss of data or goodwill,
- property unavailability, price changes, delays, failed negotiations, or failed closings,
- Third Party acts or omissions.
If liability cannot be fully excluded, our total liability will not exceed the amount you paid us (if any) for the Service in the three (3) months prior to the event giving rise to the claim.
15) Indemnification
You agree to indemnify and hold harmless the Company, its owners, managers, employees, and partners against claims arising from your misuse of the Service, breach of these Terms, or violation of law/third-party rights.
16) Suspension and Termination
We may suspend or terminate access to the Service at any time if:
- you breach these Terms,
- we suspect fraud or misuse,
- required for security, operational, or legal compliance reasons.
17) Changes to These Terms
We may update these Terms from time to time. The “Last updated” date will reflect changes. Continued use of the Service after changes means you accept the updated Terms.
18) Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates and the laws of the Emirate of Dubai, as applicable (excluding conflict-of-law rules).
Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless mandatory law provides otherwise.
